NOTICE OF ANNUAL GENERAL MEETING
Dear Members of the South Australian Baseball Community,
This notice serves as an official call for nominations for interested and qualified individuals to stand for election to the Board of Directors of the South Australian Baseball League Inc. (Baseball SA). The elections will be held at the upcoming Annual General Meeting (AGM) 6:30pm at Sport SA on Wednesday 30 July.
Special General Meeting to Adopt a New Constitution
Please be reminded that prior to the AGM, Baseball SA will hold a Special General Meeting (SGM) as already announced, on Monday, 30 June, at 6:30PM at sport SA. The sole purpose of this meeting is to vote on a special resolution to adopt a new Constitution for the organisation.
The outcome of this vote will directly impact the composition of the Board and, consequently, the number of vacant positions available for election at the AGM.
To ensure transparency, we are calling for nominations based on both possible outcomes of the SGM.
Scenario 1: If the New Constitution is ADOPTED
Should the members vote to adopt the new Constitution, the Board structure will be revised to consist of:
• A President
• Three (3) Elected Board Members
• Three (3) Appointed Board Members
Under this new structure, and accounting for the planned retirement of three existing elected board members, there will be:
One (1) vacant position for an Elected Board Member.
Nominations are hereby called for this position for a three-year term.
Scenario 2: If the New Constitution is REJECTED
Should the members vote against adopting the new Constitution, the existing Constitution will remain in force. The board structure will continue as:
• A President
• Up to six (6) Elected Directors
• Up to two (2) Appointed Directors
As per the existing Constitution, one-third of the Elected Directors must retire each year. With five elected directors currently on the board, this necessitates the retirement of two members.
This will result in:
Two (2) vacant positions for Elected Board Members.
Nominations are hereby called for these positions for three-year terms.
Nomination Process
Baseball SA is seeking individuals with a passion for advancing baseball in South Australia and who possess skills and experience that will benefit the strategic governance of the sport. We encourage nominations from individuals with diverse backgrounds and expertise in areas such as finance, law, marketing, governance, and high performance.
All nominations must be submitted on the official Nomination Form with a cover letter and resume to the General Manager (James Rawson - james.rawson@baseballsa.org.au).
Completed nomination forms must be received by the General Manager no later than 5:00 PM on July 9.
